TERMS OF SALE (TOS)

GOTCHAAAA Platform

PREAMBLE

These Terms of Sale (hereinafter "TOS") apply to all paid missions concluded via the GOTCHAAAA platform between Providers and Companies.

They supplement the Terms of Service (TOS) of the Platform and are an integral part thereof.

ARTICLE 1 - SCOPE

1.1 Covered Missions

These TOS apply exclusively to paid missions posted by commercial Companies on the GOTCHAAAA Platform.

1.2 Excluded Missions

Volunteer missions posted by associations/festivals are not subject to these TOS.

ARTICLE 2 - COMMISSION AND PRICING

2.1 GOTCHAAAA Commission

For each paid mission completed via the Platform, GOTCHAAAA receives a commission of 12.5% (pre-tax) of the total mission amount.

2.2 Financial Breakdown

  • 100% of the mission amount is paid to the Provider
  • 12.5% additional is invoiced to the Company (platform commission)

Example for a 4h mission at 24€/h:

  • Mission amount: 96€
  • Commission (12.5%): 12€
  • Total invoiced to Company: 108€
  • Paid to Provider: 96€

2.3 Taxes

All amounts are expressed in euros including all taxes (TTC).

VAT is applied in accordance with French legislation in force.

ARTICLE 3 - PAYMENT METHODS

3.1 Payment Security

GOTCHAAAA uses an escrow system to secure transactions:

3.1.1 Pre-authorization

Upon Contract signature by the Company:

  • Amount blocked on the Company's card
  • Amount = (estimated hours × hourly rate) + 12.5% commission
  • No actual debit at this stage
  • Validity: 7 days maximum

3.1.2 Escrow Capture

Upon Contract signature by the Provider:

  • Immediate capture of the pre-authorized amount
  • Transfer to GOTCHAAAA escrow account
  • Status: "In escrow"

3.2 Accepted Payment Methods

  • Bank cards (via Stripe)
  • No cash, checks, or direct transfers

3.3 Company Payment Setup

  • Card tokenization (not stored on GOTCHAAAA)
  • Required to post paid missions

ARTICLE 4 - PAID MISSION PROCESS

4.1 Before the Mission

  • Mission posting by the Company
  • Provider applications
  • Selection and acceptance
  • Electronic Contract signature
  • Pre-authorization and capture

4.2 During the Mission

  • Service execution by the Provider
  • Compliance with schedules and instructions

4.3 After the Mission

4.3.1 Mission Report (Company)

  • Actual hours worked
  • Overtime performed
  • Optional comment

4.3.2 Validation (Provider)

  • Report approval → immediate fund transfer
  • Dispute → case opening

4.3.3 Overtime

If overtime validated:

  • New pre-authorization and immediate capture
  • Amount = (overtime hours × overtime rate) + 12.5% commission

4.4 Special Cases

4.4.1 Fewer Hours Than Planned

  • Partial refund to the Company
  • Calculation: initial amount - (actual hours + commission)

4.4.2 Mission Canceled After Full Signature

  • By Company: 100% Provider compensation
  • By Provider: application of TOS sanctions

ARTICLE 5 - INVOICING

5.1 Company Invoicing

  • Invoice issued by GOTCHAAAA for the commission
  • Invoice available in the Company space
  • Retention: 10 years

5.2 Provider Invoicing to Companies

The Provider invoices the Company directly via the generated Contract.

GOTCHAAAA provides technical support but is not a party to the invoicing.

5.3 VAT

Each party invoices VAT according to its applicable tax regime.

ARTICLE 6 - CANCELLATION AND REFUND CONDITIONS

6.1 Cancellation Before Full Signature

  • ≥ 48h before mission: no penalty, no fees
  • < 48h and provider signed: cancellation impossible

6.2 Cancellation After Full Signature

6.2.1 By Company:

  • 100% Provider compensation
  • Payment captured and transferred
  • GOTCHAAAA commission due

6.2.2 By Provider:

  • Application of progressive sanctions (see TOS Article 8)
  • Pre-authorization/capture cancellation
  • No payment

6.3 Refunds

6.3.1 Refund Cases:

  • Fewer hours worked than planned
  • Platform technical error
  • Force majeure

6.3.2 Refund Timelines:

  • 5 to 10 business days depending on bank
  • Same payment method as purchase

ARTICLE 7 - CLAIMS AND DISPUTES

7.1 Claims

Any claim must be sent by email to hello [at] gotchaaaa.com within 48 hours after the end of the mission.

7.2 Disputes Between Parties

In case of disagreement about mission execution:

7.2.1 Internal Mediation by GOTCHAAAA

  • Evidence review (contract, reports, messages)
  • Decision within 72h
  • Possibility to adjust payments

7.2.2 In Case of Failure

  • Dispute transmitted to parties for direct resolution
  • GOTCHAAAA may hold funds in escrow during resolution

7.3 Disputes with GOTCHAAAA

ARTICLE 8 - RIGHT OF WITHDRAWAL

8.1 Scope

In accordance with Article L.221-28 of the Consumer Code, the right of withdrawal does not apply to service contracts fully performed before the end of the withdrawal period.

8.2 Application to GOTCHAAAA Missions

GOTCHAAAA missions being one-time services on a fixed date, no right of withdrawal applies after the Contract is signed by both parties.

ARTICLE 9 - FINANCIAL PROVISIONS

9.1 Payment Timelines

  • Capture: immediate upon Provider signature
  • Validation: after report submission
  • Provider transfer: immediate after validation
  • Bank account credit: 2-7 business days (depending on bank)

9.2 Late Payments

In case of late payment by the Company:

  • Application of late interest at the legal rate
  • €40 collection fee
  • Company account suspension

9.3 Payment Guarantee

GOTCHAAAA guarantees Providers payment for validated missions, subject to compliance with TOS/Terms of Sale.

ARTICLE 10 - TERMS OF SALE MODIFICATIONS

10.1 Right to Modify

GOTCHAAAA reserves the right to modify these Terms of Sale at any time.

10.2 Notification

New Terms of Sale will be notified by email 30 days before coming into effect.

10.3 Application to Ongoing Missions

Missions in progress at the time of modification remain subject to the Terms of Sale in force at the time of their conclusion.

ARTICLE 11 - APPLICABLE LAW AND JURISDICTION

11.1 Applicable Law

These Terms of Sale are governed by French law.

11.2 Competent Jurisdiction

In case of dispute, and after failure of internal mediation, the competent courts are those of the location of GOTCHAAAA's headquarters.
